Your agreement with Kulaya
These Terms of Use are a legal agreement between you and Kulaya, a family organization service operated from New Jersey, United States. They govern your access to the Kulaya website, web app, mobile apps, and related services, together called the Service.
By creating an account, accepting an invitation, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use Kulaya. If you use Kulaya for an organization or another legal entity, you represent that you have authority to bind it to these Terms.
Eligibility and family accounts
You must be at least 18 years old and legally able to enter a contract to create or administer a family space. An adult family owner or parent administrator may authorize other family members to use Kulaya, including a child or teen, by inviting them or creating a linked login. The adult is responsible for that authorization, appropriate supervision, and any consent required for a minor.
Child and teen users may use only the parts of Kulaya made available to their role and under the direction of a parent or legal guardian. If you are under 13, you may not create an independent Kulaya account. A parent or legal guardian must create, authorize, and supervise your access.
Accounts and security
You must provide accurate account information and keep it current. You are responsible for protecting your password, device access, and any credentials you create for another family member. Do not share an account with someone who is not authorized to use it. Tell us promptly if you believe an account or family space has been compromised.
A family owner or parent administrator controls invitations, roles, and access to a family space. You are responsible for reviewing those settings and removing access that is no longer appropriate. Kulaya may rely on instructions from an authenticated account until we have reason to believe it has been compromised.
Your content and family permissions
You retain ownership of the information and materials you submit to Kulaya, including family profiles, events, lists, records, notes, photos, documents, messages, and other content. You grant Kulaya a limited, worldwide, non-exclusive license to host, copy, process, transmit, format, and display that content only as reasonably needed to operate, secure, support, and improve the user-facing Service and to follow your instructions. This license ends when the content is deleted from our active systems, subject to reasonable backup, security, and legal retention.
You represent that you have the rights and permissions needed to add the content, including information about another adult or child. Do not add confidential records, images, communications, or third-party material unless you are authorized to do so. Content placed in a shared family space may be visible to other authorized members based on their role.
Acceptable use
You may not use Kulaya to:
- break a law, violate another person's rights, or facilitate harm;
- harass, threaten, exploit, groom, or endanger a child or any other person;
- upload malware, probe security, bypass access controls, or disrupt the Service;
- access another account, family space, or connected service without authorization;
- scrape, copy, resell, or commercially exploit the Service except through a written agreement with Kulaya;
- reverse engineer the Service except where applicable law expressly permits it;
- send spam, impersonate another person, or provide deceptive information; or
- use automated systems in a way that creates unreasonable load, evades limits, or harms other users.
We may investigate suspected misuse and take proportionate steps to protect users and the Service. Those steps can include limiting a feature, preserving relevant security records, suspending access, or reporting conduct when legally required.
Google and other connected services
Kulaya may let you connect third-party services, including Google Sign-In, Google Calendar, and Gmail. Connections are optional. You authorize Kulaya to access and process only the information and permissions shown during the connection flow and described in our Privacy Policy. Calendar and Gmail integrations request read-only access. Kulaya does not receive your Google password.
Third-party services are governed by their own terms and can change, limit, or end access at any time. You are responsible for keeping those accounts in good standing. Kulaya is not responsible for a third-party service, its content, or a change outside our control. You can disconnect supported integrations in Settings.
AI-assisted features
Some Kulaya features use artificial intelligence supplied through Anthropic's commercial API. AI may help interpret text, photos, documents, email, and Calendar events; suggest actions; organize information; or provide general family, parenting, meal, and nutrition guidance. Kulaya identifies AI-assisted experiences in the product where context makes that helpful.
AI output is generated automatically and can be incomplete, inaccurate, outdated, or unsuitable for your family. Review every suggestion before relying on it. Many proposed changes require your confirmation before they are saved, but confirmation does not make the output professionally verified. You may not use Kulaya's AI to make unlawful, high-impact, or fully automated decisions about another person.
Health, nutrition, parenting, and emergencies
Kulaya is a consumer family organizer. It is not a health care provider, medical device, emergency service, law firm, or substitute for a qualified professional. Health, nutrition, parenting, school, and safety content is for organization and general information only. It is not medical, mental-health, legal, or other professional advice and does not create a professional relationship.
Do not use Kulaya to diagnose or treat a condition or to decide whether to seek care. Verify medications, allergies, vaccine information, lab values, appointments, and nutrition guidance with an appropriate professional. If someone may be in danger or is experiencing an emergency, call 911 in the United States or contact the appropriate local emergency service.
Unless Kulaya separately agrees in writing, the Service is not offered on behalf of a covered health care provider and is not intended to receive provider-regulated medical records under a HIPAA business associate arrangement.
Service operation and changes
Kulaya is an evolving service. We may add, change, limit, or remove a feature; update device or browser requirements; impose fair usage or security limits; or temporarily interrupt access for maintenance, security, or circumstances outside our control. We will try to give reasonable notice when a material change is likely to significantly affect active users.
Some features depend on a network connection, device storage, or a third-party provider. Offline and synchronization features reduce disruption but are not a guaranteed backup service. Keep independent copies of information that you cannot afford to lose.
Kulaya does not currently charge for the public version of the Service. If we introduce a paid feature, we will show its price and any additional terms before you purchase it.
Kulaya property and feedback
The Service, including its software, design, brand, logo, text, arrangement, and other materials provided by Kulaya, is owned by Kulaya or its licensors and protected by intellectual-property laws. Subject to these Terms, Kulaya gives you a limited, personal, revocable, non-exclusive, non-transferable license to use the Service for its intended family-organization purpose.
If you send ideas or feedback, you allow Kulaya to use them without restriction or payment, but you keep ownership of any rights you already hold. Do not submit feedback that you are not authorized to share.
Suspension, termination, and deletion
You may stop using Kulaya at any time. You can permanently delete your account in Settings or request help by emailing m3b3nest@gmail.com. Account deletion is described in the Privacy Policy. Removing an integration is different from deleting your Kulaya account.
We may restrict or suspend access when reasonably necessary to protect a user, comply with law, address a security risk, prevent material abuse, or enforce these Terms. Where practical, we will give notice and a chance to correct the issue. We may terminate access for serious or repeated violations.
Terms that by their nature should continue after termination will survive, including ownership, disclaimers, liability limits, dispute terms, and obligations relating to prior conduct.
Disclaimers
To the fullest extent allowed by law, the Service is provided “as is” and “as available.” Kulaya disclaims implied warranties, including merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or usage of trade.
We do not promise that the Service will always be available, secure, error-free, or accurate; that content will never be lost; that a connected service will continue to work; or that AI output will be correct. Nothing in these Terms excludes a warranty or consumer protection that cannot lawfully be excluded.
Limits on liability
To the fullest extent allowed by law, Kulaya and its suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, or use, arising from or related to the Service, even if advised that such harm was possible.
To the fullest extent allowed by law, Kulaya's total liability for all claims arising from or related to the Service will not exceed the greater of the amount you paid Kulaya for the Service during the 12 months before the event giving rise to the claim or 100 U.S. dollars.
These limits do not apply to liability that cannot be limited under applicable law. Some jurisdictions do not allow certain exclusions or limitations, so some of this section may not apply to you.
Responsibility for misuse
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Kulaya and its personnel from third-party claims, losses, and reasonable expenses arising from your unlawful use of the Service, your material violation of these Terms, or content you submit without the required rights or permissions. This obligation does not apply to the extent a claim results from Kulaya's own conduct.
Governing law and disputes
Before filing a formal claim, you and Kulaya agree to make a good-faith effort to resolve the issue informally. Send a description of the dispute and the relief requested to m3b3nest@gmail.com. We will do the same using the contact information associated with your account. Either party may proceed after 30 days if the matter is not resolved.
These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law principles. Any judicial proceeding that is not eligible for small claims court will be brought in the state or federal courts located in New Jersey, and each party consents to their personal jurisdiction. This section does not take away any non-waivable consumer right or any right to bring an eligible claim in small claims court.
Changes and general terms
We may update these Terms to reflect changes to Kulaya, law, or security. We will post the updated date and provide additional notice when a change is material. Changes apply prospectively. If you do not agree to an updated term, you must stop using the Service and may delete your account.
These Terms and the Privacy Policy are the entire agreement about the Service unless a separate written agreement applies. If one provision is unenforceable, it will be enforced to the maximum lawful extent and the rest will remain in effect. Our failure to enforce a provision is not a waiver. You may not transfer these Terms without our consent. Kulaya may transfer them as part of a reorganization, financing, merger, acquisition, or sale of assets.
